Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and LeaseMynd ("LeaseMynd," "we," "us") governing use of the LeaseMynd platform at https://leasemynd.com (the "Service").

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

LeaseMynd is a professional workflow tool for commercial real estate attorneys. The Service uses artificial intelligence to assist with first-pass review of commercial lease documents, including clause extraction, risk flagging, market comparison, and related workflow features.

The Service does not provide legal advice and does not create an attorney-client relationship between you and LeaseMynd. All outputs are for attorney workflow support and must be independently reviewed by a licensed attorney before any client-facing use.

The Service is intended for licensed attorneys and law firm personnel acting under attorney supervision in a professional legal practice context. You represent that you are using the Service in that context and that you have authority to bind your organization to these Terms.

You may not use the Service to provide legal advice to third parties as an unlicensed provider, or to replace independent professional judgment on matters requiring a license to practice law.

You retain ownership of documents and data you upload ("Customer Content"). You grant LeaseMynd a limited license to process Customer Content solely to provide and improve the Service as described in our Privacy Policy.

You are solely responsible for:

• Obtaining all required client consents and authorizations before upload
• Verifying the accuracy and completeness of all AI-generated outputs
• All client-facing advice, filings, and negotiations
• Compliance with professional conduct rules, confidentiality duties, and applicable law
• Ensuring uploaded documents are commercial leases appropriate for the Service

AI outputs may be inaccurate, incomplete, outdated, or inappropriate for your matter. Scoring, benchmarks, and suggested language are informational aids only. LeaseMynd makes no warranty that outputs are correct, complete, or suitable for any particular purpose.

You must not rely on the Service as a substitute for attorney review, especially for high-stakes decisions.

You must comply with our Acceptable Use Policy. Prohibited uses include uploading documents without authorization, uploading HIPAA-regulated PHI, using the Service for residential lease advice without attorney review, reverse engineering, circumventing usage limits, and any unlawful or abusive activity.

Paid plans are billed through Stripe on a recurring basis unless canceled. Prices and plan limits are described at checkout and in your account. Taxes may apply. See our Refund & Cancellation Policy for trial and cancellation terms.

We implement administrative, technical, and organizational measures designed to protect Customer Content. Details are in our Privacy Policy and Security documentation provided to business customers.

Share links and client portal features can expose matter data to third parties. You are responsible for configuring access controls and obtaining client consent before sharing.

LeaseMynd owns the Service, software, branding, and underlying technology. Except for Customer Content, no rights are granted to you other than the limited right to use the Service during an active subscription or trial.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEASEMYND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER LEASEMYND NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL.

LEASEMYND'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE FEES YOU PAID TO LEASEMYND IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the fullest extent permitted.

You will defend, indemnify, and hold harmless LeaseMynd and its officers, directors, employees, and agents from claims arising out of (a) your use of the Service, (b) Customer Content, (c) your professional services or client advice, (d) violation of these Terms or law, or (e) dispute between you and your clients or third parties relating to your use of AI outputs.

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, risk to other users, or legal requirements. Upon termination, your right to access the Service ends; data handling is governed by our Privacy Policy and retention practices.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute shall be resolved by binding arbitration in Wilmington, Delaware, except that either party may seek injunctive relief for IP or confidentiality violations in a court of competent jurisdiction.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION TO THE EXTENT PERMITTED BY LAW.

We may update these Terms. Material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance.
